Terms of Service

1. Definitions

In these Terms, the following definitions apply:

• "NVIAI," "Company," "we," "us," or "our" refers to NVIAI SMART TECHNOLOGY COMPANY LIMITED.
• "Meslingo," "Service," or "App" refers to the Meslingo Slack App AI Agent Assistant, including all features, functionalities, and related services.
• "User," "you," or "your" refers to any individual or entity that accesses or uses the Service.
• "Workspace" refers to a Slack workspace where Meslingo is installed.
• "Workspace Administrator" refers to the person(s) with administrative control over a Slack workspace.
• "Customer" refers to the organization or individual that has agreed to these Terms and installed Meslingo.
• "Authorized User" refers to any individual granted access to use Meslingo within a Workspace.
• "Subscription" refers to any paid plan for accessing premium features of Meslingo.

2. Acceptance of Terms

By installing Meslingo to your Slack workspace, creating an account, or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you are using Meslingo on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" and "your" will refer to that organization.

3. Service Description

Meslingo is an AI-powered translation assistant for Slack that helps global teams communicate across language barriers. The Service provides:

• Real-time Translation: Instant translation of messages within Slack channels and conversations
• AI-Powered Accuracy: Translations powered by advanced AI technology (Gemini AI)
• Multi-language Support: Support for numerous languages to facilitate global communication
• Seamless Integration: Native integration with Slack's platform

The Service is provided as a Slack application and operates within the Slack ecosystem, subject to Slack's terms and policies.

4. Eligibility

To use Meslingo, you must:

• Be at least 16 years of age
• Have a valid Slack account and workspace
• Have the authority to install applications in your Slack workspace (or have obtained permission from your Workspace Administrator)
• Not be prohibited from using the Service under applicable laws

5. Account & Registration

5.1 Installation

Meslingo is installed through Slack's app installation process. By installing the App, the Workspace Administrator agrees to these Terms on behalf of all Authorized Users in the Workspace.

5.2 Account Security

You are responsible for maintaining the security of your Slack account and workspace. NVIAI is not liable for any unauthorized access to your workspace or any actions taken through Meslingo as a result of compromised credentials.

5.3 Accurate Information

If you create an account with us (such as for billing purposes), you agree to provide accurate, current, and complete information and to update such information as necessary.

6. Subscriptions & Payments

6.1 Subscription Plans

Meslingo offers various subscription plans, including free and paid tiers. Features and limitations vary by plan and are described on our pricing page.

6.2 Payment Terms

• Billing Cycle: Paid subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your selection).
• Payment Processor: All payments are processed securely through LemonSqueezy, our authorized Merchant of Record. We do not store your credit card information.
• Currency: All prices are in USD unless otherwise specified.
• Taxes: Prices may be exclusive of applicable taxes, which will be added at checkout.

6.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled. You will be charged the then-current subscription rate unless you cancel before the renewal date.

6.4 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us. Upon cancellation:

• You will retain access to paid features until the end of your current billing period
• No refunds will be provided for the remaining portion of the billing period
• Your account will revert to the free plan at the end of the billing period

6.5 Refund Policy

• 14-Day Money-Back Guarantee: New subscribers may request a full refund within 14 days of their initial purchase.
• No Refunds After 14 Days: After the 14-day period, payments are non-refundable except where required by law.
• Refund Requests: To request a refund, contact billing@meslingo.ai.

6.6 Price Changes

We reserve the right to change our subscription prices. Price changes will be communicated at least 30 days in advance and will apply to subsequent billing periods.

7. Free Trial

We may offer free trials of paid features. Free trials are subject to the following:

• Trial periods are limited and may be offered at our discretion
• You may be required to provide payment information to start a trial
• If you do not cancel before the trial ends, you will be charged for the subscription
• Free trial offers may be limited to one per workspace or organization

8. Acceptable Use

8.1 Permitted Use

You may use Meslingo for legitimate business communication and translation purposes within your Slack workspace.

8.2 Prohibited Use

You agree not to use Meslingo to:

• Violate any applicable laws, regulations, or third-party rights
• Translate or generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
• Transmit any content that infringes intellectual property rights
• Attempt to gain unauthorized access to Meslingo's systems or networks
• Interfere with or disrupt the Service or servers
• Reverse engineer, decompile, or disassemble the Service
• Attempt to access our API without authorization
• Use the Service for any competitive analysis or to build a competing product
• Share your account credentials with unauthorized parties
• Circumvent any usage limits or restrictions
• Use the Service to send spam or unsolicited messages
• Engage in any activity that could damage, disable, or impair the Service

8.3 Content Responsibility

You are solely responsible for all content you submit for translation. We do not monitor the content of translations but reserve the right to remove access if we become aware of violations.

9. Intellectual Property

9.1 Our Intellectual Property

Meslingo, including its design, features, functionality, code, and branding, is owned by NVIAI SMART TECHNOLOGY COMPANY LIMITED and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

9.2 Your Content

You retain ownership of any content you submit for translation. By using Meslingo, you grant us a limited, non-exclusive license to process your content solely for the purpose of providing the translation service.

9.3 Feedback

If you provide feedback, suggestions, or ideas about Meslingo, we may use them without obligation to you.

10. Privacy & Data

10.1 Privacy Policy

Our Privacy Policy explains how we handle information in connection with the Service. By using Meslingo, you agree to our privacy practices.

10.2 No Data Collection

Meslingo is designed with privacy at its core. We do not collect, store, or retain your messages, translations, or personal information. All processing is ephemeral.

While we do not store your data, we implement security measures to protect data during transmission. See our Security page for details.

11. Slack Platform Compliance

11.1 Slack Terms

Your use of Meslingo is also subject to Slack's terms of service and policies. In case of conflict between these Terms and Slack's terms, Slack's terms shall prevail with respect to your use of the Slack platform.

11.2 Slack App Directory

Meslingo complies with Slack's App Directory requirements and security guidelines. We maintain compliance with all applicable Slack developer policies.

11.3 Permissions

Meslingo requires certain Slack permissions to function. Workspace Administrators control which permissions are granted and can revoke access at any time through Slack's admin settings.

12. Disclaimers

12.1 Service Provided "As Is"

MESLINGO IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12.2 Translation Accuracy

While we strive for accurate translations, we do not guarantee that translations will be error-free, complete, or suitable for any particular purpose. AI-powered translations may contain errors or inaccuracies. You should not rely solely on Meslingo for critical communications where accuracy is essential.

12.3 Service Availability

We do not guarantee that the Service will be uninterrupted, secure, or error-free. The Service may be subject to limitations, delays, and other problems inherent in the use of internet and electronic communications.

12.4 Third-Party Services

Meslingo integrates with third-party services (Slack, AI providers, payment processors). We are not responsible for the availability, accuracy, or quality of these third-party services.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• NVIAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
• OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100 USD, WHICHEVER IS GREATER.
• THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless NVIAI, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you submit for translation

15. Termination

15.1 Termination by You

You may stop using Meslingo at any time by uninstalling the App from your Slack workspace and cancelling any active subscriptions.

15.2 Termination by Us

We may suspend or terminate your access to Meslingo immediately, without prior notice or liability, if:

• You breach any provision of these Terms
• We are required to do so by law
• We discontinue the Service
• Your use poses a security risk or may harm other users

15.3 Effect of Termination

Upon termination:

• Your right to use the Service will immediately cease
• You will not receive any refunds for prepaid fees (except as required by law or our refund policy)
• Provisions that by their nature should survive termination will remain in effect

16. Modifications to Service and Terms

16.1 Service Modifications

We reserve the right to modify, suspend, or discontinue Meslingo (or any part thereof) at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance.

16.2 Terms Modifications

We may revise these Terms from time to time. Material changes will be communicated through:

• Email notification to Workspace Administrators
• In-app notification
• Posting on our website

We will provide at least 30 days' notice for material changes. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Vietnam, without regard to its conflict of law provisions.

18. Dispute Resolution

18.1 Informal Resolution

Before filing any formal dispute, you agree to first contact us at legal@meslingo.ai to attempt to resolve the dispute informally. We will try to resolve disputes within 30 days.

18.2 Arbitration

If informal resolution fails, any dispute arising from these Terms shall be resolved through binding arbitration, except that either party may seek injunctive relief in court for intellectual property matters.

18.3 Class Action Waiver

You agree that any disputes will be resolved on an individual basis and not as part of any class, consolidated, or representative action.

19. General Provisions

19.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and NVIAI regarding Meslingo.

19.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

19.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

19.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.

19.5 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.

19.6 Force Majeure

We shall not be liable for any failure to perform due to causes beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
